A regional law firm is seeking a Corporate Legal Assistant/Paralegal to join their Colorado Springs, CO office. This role is fully in-office and ideal for someone who thrives in a fast-paced, team-centered environment.
Responsibilities:
* Support attorneys with corporate governance tasks, entity formations, and ongoing corporate maintenance
* Draft, revise, and proofread corporate documents, including operating agreements, bylaws, minutes, resolutions, and transactional correspondence
* Manage corporate filings, annual reports, and compliance calendars across multiple jurisdictions
* Assist with due diligence for corporate transactions, including organizing and reviewing contracts, certificates, and related documentation
* Prepare and maintain corporate records books and cap tables
* Coordinate closings, prepare closing checklists, and manage document signatures and post-closing follow-up
* Conduct legal and factual research related to corporate matters
* Track and record billable time for client work
Qualifications:
* Minimum 2+ years of corporate or transactional legal experience
* Strong organizational skills and exceptional attention to detail
* Ability to manage multiple entities, projects, and deadlines across attorneys
* Proficiency in Microsoft Office; experience with corporate management platforms and Secretary of State filing systems is preferred
* Excellent written and verbal communication skills and the ability to interact professionally with clients and internal teams
* Team-oriented, proactive, and adaptable to firm processes and attorney needs
* Must be able to commute daily to the firm's Colorado Springs, CO office
Salary: $50-$70k/yr.
